Affiliate program terms.

1. Commission and payment

Your commission rate is set when your code is issued and is stated in that email. The standard rate is 25% of the order subtotal, rising to 30% for producing affiliates. Shipping, taxes, discounts and refunded amounts are never commissionable.

A customer is attributed to the first affiliate whose link brings them to us. That attribution is yours: another affiliate cannot take it by getting the same customer to click their link while the customer is still active with us.

You earn commission on orders that customer places within 45 days of being attributed to you. After 45 days the attribution remains recorded but no longer earns.

Producing affiliates can have that window extended to 90 days. It is set per affiliate, we review it on performance, and we will tell you in writing when yours changes. The 45 days above is the starting point, not a ceiling.

If an attributed customer places no order for 180 days, they are treated as lapsed, and a different affiliate who brings them back may be attributed instead.

Commission accrues on orders that have shipped and passed their return period. Payment is made monthly by Zelle, in arrears, to the handle you supplied on your application. You are responsible for your own taxes; we do not withhold.

Commission on an order that is refunded, charged back, or found to be fraudulent or self-referred is reversed.

2. How you may promote

We are deliberately permissive about method. Your platform, your voice, your angle, your creative. The rules below are the exceptions, and they are absolute.

2.1 Lead with the research-use disclaimer

Every post, page or video carrying your link must state, prominently and before any product discussion, that the content is not medical advice and that the products are for research use only and not for human or animal consumption. A disclaimer placed in a comment, a link-in-bio, or below a fold does not satisfy this.

2.2 Disclose that you are paid

You must clearly disclose your material connection to VSA BioScience wherever you promote, in a manner a reasonable consumer will notice before acting. This is required by the FTC Endorsement Guides (16 CFR Part 255) as well as by us.

2.3 Never reference dosing or administration

You may not state, suggest or illustrate any amount, quantity, schedule, frequency, cycle, route of administration, reconstitution method, or instructions for use, for any product, in any context. This applies to captions, replies, direct messages and linked content alike. This is the most strictly enforced term in this document.

2.4 No personal use, results or testimonials

You may not describe personal use of any product, present or imply results in a human or animal subject, publish before-and-after imagery, or reproduce testimonials or reviews from any person. You may not solicit such material from your audience in connection with your link.

2.5 No administration supplies alongside our products

You may not promote, sell, bundle, link to, or display syringes, needles, bacteriostatic or sterile water, vials for reconstitution, or comparable administration supplies in the same post, page, video, cart, bundle, storefront or profile that carries your affiliate link.

3. Products you may not promote

Two categories of product are excluded from affiliate promotion entirely, regardless of how the promotion is framed:

• Any product in the GLP-class metabolic category.
• Any product that is also approved as a prescription drug in the United States.

You may still refer customers to the site generally; you may not build a promotion around, or specifically reference, a product in either category. Approved affiliates are provided the excluded products by name when their code is issued. If you are unsure whether a product falls into either category, ask before you post.

4. Conduct, term and termination

You may not bid on our brand name or domain in paid search, use unsolicited email or messaging, misrepresent yourself as VSA BioScience or as an employee, use our name or marks in a domain or account handle, make claims about efficacy, safety, legality or regulatory status, or engage in cookie stuffing or comparable attribution manipulation.

Either party may end this arrangement at any time, for any reason, on notice. We may suspend or terminate a code immediately, and withhold unpaid commission, where we determine a term of this document has been breached. Commission already paid is not clawed back except in cases of fraud.

You are an independent contractor. Nothing here creates an employment, partnership, agency or joint venture relationship, and you have no authority to make representations on our behalf.

You are responsible for compliance with all laws applicable to your promotion, including advertising, endorsement and consumer protection law in your jurisdiction. You agree to indemnify VSA BioScience LLC against claims arising from your promotional activity.

We may update these terms. Material changes will be sent to the email on your application, and continued promotion after that constitutes acceptance.
